01Accepting these terms#
In these terms, “we”, “us” and “our” mean Zyro LLC. “The Service” means ZYRO, including the website, the application, its APIs and any related support. “Customer” or “you” means the organization that creates a ZYRO account, and “Users” means the people the Customer allows to use it.
By creating an account, clicking to accept, or using the Service, you agree to these terms. If you accept them on behalf of a company or other organization, you confirm that you have authority to bind it, and “you” refers to that organization. If you do not agree, do not use the Service.
If you have signed a separate written agreement with us for the Service, that agreement takes precedence over these terms where the two conflict.
02Accounts and organizations#
The Service is organized into organizations, workspaces and projects. The Customer controls its organization: who is invited, which role each User holds, and what each role can see and do.
- You must give accurate information when you sign up and keep it up to date.
- You are responsible for your Users, for the roles and permissions you assign, and for everything done under your organization’s accounts.
- Users must keep their sign-in details confidential. We recommend that every User turns on multi-factor authentication.
- Tell us promptly at hello@usezyro.ai if you believe an account has been used without permission.
- You must be at least 16 years old, and old enough to form a binding contract where you live, to use the Service.
03Subscriptions, billing and renewal#
Paid plans are sold as subscriptions billed monthly or annually, at the prices shown on our pricing page or in your workspace billing settings when you subscribe. Payments are processed by Stripe, our payment provider. We do not receive or store your full card number.
- Renewal. Subscriptions renew automatically at the end of each billing period for the same length of period, and the payment method on file is charged at the start of each new period, until you cancel.
- Plan changes. You can move to a different plan from your workspace billing settings. A change takes effect straight away and is prorated for the rest of the current period. The Service shows you the cost of a change before you confirm it.
- Price changes. We may change our prices. A new price applies from your next renewal after we give you notice, and you can cancel before then.
- Taxes. Prices do not include taxes unless we say so. You are responsible for any sales, use, value added or similar taxes that apply to your purchase, other than taxes on our income.
- Failed payments. If a payment fails, we may retry it and ask you to update your payment method. If it remains unpaid, we may limit paid features or suspend the account as described in the section on suspension and termination.
- Refunds. Except where these terms or the law say otherwise, fees already paid are not refundable, including for a partly used period.
04Cancellation#
You can cancel a subscription at any time from your workspace billing settings. Cancellation stops the subscription from renewing. Your plan stays active until the end of the period you have already paid for, and you are not charged again.
When that period ends, your organization moves to the free Trial plan. Your workspaces, projects and discovery outputs are kept, and credits you bought in packs are not affected, but features and limits follow the Trial plan from then on.
05AI credits and credit packs#
AI features in ZYRO consume credits, which measure AI usage. We describe plans in discoveries, an estimate of how many projects a credit allowance usually covers. Discoveries are an estimate and not a guarantee, because the credits a project uses depend on its size and on how it is run.
- Monthly allowance. Each paid plan includes a monthly credit allowance. The allowance resets at the start of each month, and unused allowance does not carry over.
- Credit packs. Organizations on a paid plan can buy additional credits in packs. Pack credits are used after the monthly allowance and do not expire at the end of the month.
- When credits run out. When both the allowance and any pack credits are used up, AI generation pauses until the allowance resets, a pack is bought, or the plan is changed.
- Credits have no cash value, cannot be transferred or sold, and are not refundable except where the law requires it.
06Trial and beta features#
You can sign up for the free Trial plan without a payment card. Trial features and limits are shown in the Service and may change.
ZYRO is currently in beta, and we may offer features labeled as beta, preview or early access. Those features may change or be withdrawn, may contain errors, and are provided “as is” without any commitment that they will become generally available.
07Acceptable use#
You and your Users must not:
- break any law, or infringe or misappropriate anyone else’s rights;
- upload content you do not have the right to use, or content that is unlawful, harmful, or malicious, including malware;
- try to access another customer’s data, probe or test the Service’s security without our written permission, or get around its access controls, limits or credit metering;
- interfere with or disrupt the Service, or put an unreasonable load on it, including through automated access that is not through our published APIs;
- resell, sublicense or provide the Service to third parties as a standalone product, except as we agree in writing;
- copy, reverse engineer or decompile the Service, except where the law allows it despite this restriction; or
- use the Service to build a competing product, or to create AI models that compete with it.
08Your data#
Customer Data means everything you and your Users put into the Service, including project briefs, uploaded documents, connected code, clarifications and edits, and everything the Service produces for you from it, including discovery outputs, requirements, diagrams and tasks.
- You own your Customer Data. We do not claim ownership of it.
- You give us permission to host, copy, process, transmit and display Customer Data only as needed to provide, secure and support the Service for you, and as described in our Privacy Policy.
- You are responsible for having the rights and permissions needed for the Customer Data you put into the Service, and for its accuracy.
- We will not sell your Customer Data.
09AI output and human review#
ZYRO uses AI models to draft discovery outputs, artifacts and tasks. AI output can be incomplete, inaccurate or unsuitable for your situation, and similar requests can produce different results.
The Service is built around human review: outputs are drafts until a person approves them. You are responsible for reviewing output before you rely on it, and for the decisions you make, including which stages you approve and what you build. AI output is not legal, financial, security or other professional advice.
10Integrations and third-party services#
The Service can connect to third-party services that you choose to use, such as GitHub and Linear, and relies on third-party AI model providers to generate output. When you connect an integration, you authorize us to exchange data with it as needed to provide the feature you are using, for example to create issues from approved tasks.
Your use of a third-party service is governed by that provider’s own terms. We are not responsible for third-party services, and a change on their side may affect an integration.
11Confidentiality#
Each party may receive non-public information from the other that is marked confidential or that a reasonable person would understand to be confidential. Customer Data is your confidential information. The receiving party will use the other’s confidential information only to perform under these terms, will protect it with at least reasonable care, and will share it only with employees, contractors and service providers who need to know it and are bound by similar obligations.
These obligations do not cover information that is or becomes public through no fault of the receiving party, that it already knew or developed independently, or that it received lawfully from someone else. A party may disclose confidential information when the law requires it, after giving the other party notice where it is allowed to.
12Our intellectual property and feedback#
We and our licensors own the Service, including its software, design, templates and documentation. Subject to these terms and to paying the applicable fees, we give you a limited, non-exclusive, non-transferable right for your Users to use the Service for your internal business purposes during your subscription. We reserve all rights not expressly granted.
If you send us feedback or suggestions, we may use them without any obligation to you.
13Disclaimer of warranties#
We will provide the Service with reasonable skill and care. Apart from that, and to the fullest extent the law allows, the Service is provided “as is” and “as available”. We disclaim all other warranties, whether express, implied or statutory, including warranties of merchantability, fitness for a particular purpose, title and non-infringement, and any warranty that the Service or its output will be uninterrupted, error free or accurate.
14Limitation of liability#
To the fullest extent the law allows:
- Neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, goodwill or data, even if it was told they were possible.
- Each party’s total liability arising out of or relating to these terms or the Service is limited to the fees the Customer paid us for the Service in the 12 months before the event giving rise to the claim.
These limits do not apply to your payment obligations, to a party’s indemnity obligations, or to liability that cannot be limited by law.
15Indemnity#
You will defend Zyro LLC and its members, employees and agents against any third-party claim arising from your Customer Data, your use of the Service in breach of these terms, or your violation of law, and will pay any damages, costs and reasonable attorneys’ fees finally awarded or agreed in settlement. We will notify you promptly of the claim, let you control its defense, and give you reasonable help at your expense.
16Suspension and termination#
You can stop using the Service at any time, and can cancel your subscription as described above.
We may suspend access, in whole or in part, if you materially breach these terms, if payment is overdue, or if we reasonably believe your use poses a security risk or could harm the Service, us or others. Where it is reasonable, we will give notice first and restore access once the issue is resolved.
Either party may terminate these terms if the other materially breaches them and does not cure the breach within 30 days of written notice. Sections that by their nature should survive termination, including those on fees owed, confidentiality, disclaimers, limitation of liability, indemnity and governing law, will survive.
17Data export and deletion#
Organization administrators can export their organization’s or a workspace’s data from the Service at any time, including before an account is closed. Export downloads stay available for 14 days.
Administrators can also request deletion of an organization or workspace from the Service. A deletion request is scheduled seven days ahead so that it can be cancelled if it was made by mistake, and is then carried out unless a legal hold applies. Some information may remain in backups and logs for a limited period, and we keep records we are required to keep by law, such as billing records. The Privacy Policy describes retention in more detail.
18Changes to the Service and to these terms#
We improve the Service continually, and may add, change or remove features. We will not make a change that materially reduces the core functionality of a paid plan during a period you have already paid for.
We may update these terms. If a change is material, we will tell you by email or in the Service at least 30 days before it takes effect. The “Last updated” date at the top of this page shows when they last changed. If you keep using the Service after a change takes effect, the updated terms apply. If you do not agree to them, you can cancel before they take effect.
19Governing law and venue#
These terms are governed by the laws of the State of Florida, United States, without regard to its conflict of laws rules. The state and federal courts located in Hillsborough County, Florida have exclusive jurisdiction over any dispute arising out of or relating to these terms or the Service, and each party consents to their jurisdiction. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
20General#
- Entire agreement. These terms, together with the Privacy Policy and any order or written agreement that refers to them, are the entire agreement between us about the Service.
- Assignment. Neither party may assign these terms without the other’s consent, except to a successor in a merger, acquisition or sale of substantially all of its relevant assets.
- Force majeure. Neither party is liable for a delay or failure caused by events beyond its reasonable control, other than a failure to pay.
- Severability and waiver. If a provision is found unenforceable, the rest stays in effect. Not enforcing a provision is not a waiver of it.
- Export controls. You will comply with US export control and sanctions laws in your use of the Service.
- Independent parties. The parties are independent contractors. These terms create no partnership, agency or employment relationship.
- Notices. We send notices to the email address on your account. You can send notices to us at the address below.
